Customized Service Agreement

Parties to the Agreement
Party A (Entrusting Party): Customer purchasing customized intelligent equipment/production lines
Party B (Entrusted Party): Zhongshan Rongjiu Intelligent Manufacturing Co., Ltd.
Based on the principles of equality, voluntariness, mutual benefit and integrity, Party A and Party B enter into this Agreement regarding Party A entrusting Party B to customize automated equipment, intelligent production lines and supporting software & hardware projects. This Agreement shall have the same legal effect as the main sales and purchase contract.
The Chinese and English versions of this Agreement have equal legal force. In case of interpretation conflict, the Chinese version shall prevail.
1. Custom Demand Confirmation
Party A shall provide complete production processes, capacity parameters, site dimensions, supporting working conditions, special safety and environmental protection requirements to Party B in the form of written drawings and technical demand lists.
Party B shall issue scheme drawings, equipment quotations and delivery schedule details according to Party A’s demands. After signed and sealed confirmation by Party A, such documents shall serve as the sole execution basis for customized production.
If Party A needs to change the structure, functions or configurations after confirming the scheme, a written change notice shall be submitted. The resulting cost increase and construction period extension shall be borne by Party A.
2. Charges & Payment Terms
The total customized price covers equipment body, standard accessories, factory commissioning and basic operation training, excluding on-site infrastructure, hoisting, external water & electricity and third-party inspection fees borne by the customer.
Payment process: 30% advance payment upon contract signing; 50% progress payment after parts preparation and drawing acceptance by Party A; 20% balance payment before equipment delivery upon passing Party A’s inspection.
If Party A delays payment, the equipment delivery cycle shall be extended accordingly, and Party B shall not be liable for breach of contract due to delayed delivery.
3. R&D, Production & Delivery
Party B shall complete customized processing, electronic control programming and whole machine joint commissioning in strict accordance with mutually confirmed technical drawings and process standards.
After equipment completion, Party B shall notify Party A to conduct pre-acceptance at the factory. Packing and delivery can only be arranged upon passing pre-acceptance.
The delivery cycle shall be calculated from the date when drawings are confirmed and the advance payment is received. Any delay caused by Party A’s demand changes or unqualified on-site installation conditions shall automatically extend the construction period.
4. Installation, Commissioning & Acceptance
After the equipment arrives at Party A’s site, Party B’s engineers will complete assembly, wiring, program commissioning and trial production operation on site.
72 consecutive hours of qualified trial production shall be deemed qualified acceptance, and both parties shall sign the Equipment Acceptance Form. If Party A fails to organize acceptance within 7 days without justifiable reasons, automatic acceptance shall be deemed passed.
Only functional defects within the scope agreed in drawings can be proposed for rectification during acceptance. New requirements beyond the original customized scheme require a supplementary agreement and additional charges.
5. Intellectual Property & Confidentiality
The intellectual property rights of equipment structures, control programs and process schemes independently designed by Party B for this project belong to Zhongshan Rongjiu Intelligent Manufacturing Co., Ltd.
Party A shall not privately disassemble, copy or resell customized equipment of Party B, nor disclose Party B’s drawings, programs and technical data to any third party.
Both parties shall permanently keep confidential the other party’s commercial quotations, process data and customer information obtained during cooperation, and confidentiality obligations remain effective after agreement termination.
6. Warranty & After-Sales
The whole customized equipment enjoys a 12-month warranty starting from the date of qualified on-site acceptance. Wearing parts, man-made damage and private modification are excluded from free warranty.
Within the warranty period, Party B provides free remote commissioning and on-site maintenance. After warranty expiration, lifelong spare parts and maintenance services at cost price are available.
7. Termination & Liability for Breach
If Party A unilaterally cancels the customized project, the paid advance payment shall not be refunded. If Party B has completed parts procurement, Party A shall make up all production costs.
If Party B fails to produce in accordance with confirmed drawing standards and cannot rectify to qualified standards, Party A has the right to request rework. If repair cannot be completed within the time limit, Party B shall refund corresponding payments and replace with qualified equipment.
8. Dispute Resolution
All disputes arising from this Custom Service Agreement shall first be resolved through friendly negotiation. If negotiation fails, litigation shall be submitted to the People’s Court of Zhongshan City with jurisdiction.
